Co-investment is a widely recognised instrument of capital management that delivers efficiencies to both sponsors and investors. In India, the diversity requirement under the AIF Regulations limits the ability of managers to set up dedicated co-investment vehicles. However, the relaxation of the diversity test in GIFT City late last year and, more recently, the release of a SEBI consultation paper on “accredited investors” point to a shift towards a more rational standard.
